By registering for and using our services, you ("You" or "User") agree to comply with and be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with these terms, please do not use our services.

Important: These terms are subject to change from time to time, you will be notified of any changes. Continued use of our services after modifications to these terms constitutes acceptance of those changes.

2. Definitions

To make these terms clear and concise, please also see below an explanation of some terms we use.

You/Your: Refers to the individual or entity purchasing or registering for our services.
We/Us/Our: Refers to OmiVault, the provider of the hosting and cloud services.
Service: Refers to any service our company provides to its user base.
Account: A unique registered profile with us, allowing access to our services.
User Content: Any content uploaded, stored, or processed through our services.
Intellectual Property: Includes all trademarks, logos, graphics, and other creative works associated with our services.

3. Services Provided

Our services include, but are not limited to:

Web Hosting: Providing server infrastructure, storage, bandwidth, and technical support for websites and web applications.
S3 Storage: Providing scalable object storage for static content, backups, and media files.
Domain Management: Assisting with domain registration, DNS management, and configuration.
Technical Support: Offering customer support through email, chat, and phone for service-related issues.
Security Measures: Implementing firewalls, DDoS protection, SSL certificates, and other security protocols.
Backup Solutions: Providing automated backup services to prevent data loss.

Additional services may be available for purchase separately, and their terms will be specified at the time of purchase. If not specified this terms will be applied.

4. Account Registration and Security

To access and use our services, you must:

Create an account using a valid email address.
Maintain the confidentiality of your account information, including your password.
Notify us immediately if you suspect any unauthorized use of your account.

We reserve the right to suspend or terminate access to our services if we detect any unauthorized use or activity associated with your account.

Security Responsibility: You are responsible for all activities that occur under your account, whether or not you have authorized them. We are not liable for any loss or damage resulting from your failure to protect your account credentials.

5. Payment Terms

All services are provided on a subscription basis, with recurring billing cycles as specified at the time of signup or service activation.

Payment methods accepted include crypto currency and any payment method provided by stripe. (Any payment option other then crypto will require the user to also accept Stripe Terms of Service).
Billing cycles are typically monthly or annually (Other durations may be offered), with renewal occurring automatically unless canceled by you at least 30 days before the end of the current billing period.
We may adjust our prices from time to time, with notice sent to your registered email address at least 30 days before any changes take effect. This adjustments will not affect existent contracts in most cases.
Cancellations can be made at any time, but you will retain access until the end of your current billing cycle.

6. Restrictions on Use

In accordance with our commitment to security and responsible use of our services, you agree not to:

Violate any applicable laws or regulations.
Engage in illegal activities, including but not limited to spamming, phishing, or hacking.
Interfere with or disrupt the integrity or performance of our services or third-party websites.
Impersonate another user or falsely state any information about yourself.
Upload or transmit any content that is unlawful or invasive of another's privacy.
Upload or transmit any material that infringes any patent, trademark, copyright, trade secret, or other proprietary rights of any party that you do not own.
Use our services to build competitive products or services without our prior written consent.
Reverse engineer, decompile, or disassemble any part of our services.

7. User Content

By uploading, storing, or processing content through our services, you grant us a worldwide, non-exclusive, royalty-free license to host, store, and transmit that content.

You are responsible for all content you upload, store, or process through our services. You represent and warrant that:

Your content is yours and you have all necessary rights to grant us the license described above.
Your content does not violate any applicable laws or regulations.
Your content does not infringe on the rights of any third party.

We are not responsible for any content you provide or for any consequences of uploading or storing such content.

Notable Exclusions: We do not store any content that violates our terms or any applicable laws. We reserve the right to remove any content that violates our terms without notice.

8. Intellectual Property

All titles, trademarks, logos, graphics, designs, and other creative works associated with our services are the property of OmiVault or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our services or included content, nor may you reverse engineer or attempt to extract the source code of materials from our website, unless laws prohibit such restrictions or you have our written permission.

9. Termination and Suspension

We may terminate or suspend your account and services immediately, without prior notice or liability, for any reason whatsoever, including but not limited to:

Violation of these Terms of Service.
Engagement in prohibited activities.
Breach of any applicable laws or regulations.
Security concerns or fraud.

Upon termination, your access to our services will cease immediately, and you must cease all use of our services. We will not provide or update any services after termination.

If you wish to terminate your account, you may do so by contacting our support team. Upon receiving your request, we will deactivate your account within 30 days, subject to legal requirements.

10. Limitation of Liability

In no event shall OmiVault, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits or revenues, business interruption, or loss of data, arising out of the use or inability to use our services.

Our liability to you will not exceed the amount paid by you for the services in the twelve (12) months preceding the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless OmiVault from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

Your use of our services.
Your violation of these Terms of Service.
Your use of the content obtained from our services.
Your willful misconduct.

12. Modifications to Terms

We reserve the right to modify or replace these Terms of Service at any time. We will provide at least 30 days' notice prior to any material changes taking effect. We encourage you to review these terms whenever you access our services.

13. Miscellaneous

These Terms of Service, together with the documents expressly referred to in them, constitute the entire agreement between us and you regarding our services.

Any notices or other communications required or permitted under these Terms shall be in writing and shall be deemed to have been duly given when delivered personally, sent by certified or registered mail, or sent by email.

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
